ENTRY PERIOD: Sweepstakes begins at 12:00:00 a.m. Eastern Time (ET) on May 1, 2024, and ends at 11:59:59 p.m. ET on July 31, 2024 (the “Sweepstakes Entry Period").

SENSEI RX PRO APPRECIATION SWEEPSTAKES “(SWEEPSTAKES”): open to legal residents of the 50 U.S. including the District of Columbia, and Canada (excluding the province of Quebec), ages 21 and older at time of entry and who are licensed plumbers, contractors, or persons employed with a plumbing/HVAC company (hereafter referred to hereafter as “you” and/or “Entrant”). Void in the province of Quebec and where prohibited by law. Canadian residents, in order to win any prize, must first correctly answer unaided a time-limited mathematical skill-testing question administered by phone and answered orally. Three attempts will be made to reach such potential winner within 10 days after which time the prize will be considered forfeited.

HOW TO ENTER: There are two ways to enter. Method 1: (Transaction Entry): During the Sweepstakes Entry Period, purchase one or more Rinnai SENSEI Condensing Tankless Water Heaters, upload the receipt online at https://landpg.rinnai.us/rinnai-sensei-rx-sweepstakes and follow all online instructions to complete your entry. You earn one chance to win for each qualifying purchase on the receipt made and submitted during the Sweepstakes Entry Period. Entries resulting from purchases made with lost, canceled, stolen or fraudulent credit cards/payments or returned transactions/orders are void. All eligible entries submitted via Method #1 must be received by 11:59:59 pm ET on July 31, 2024, for inclusion into the Sweepstakes’ random drawing. Method #2: (Postcard Entry - Free Entry): To enter the Sweepstakes without making a purchase, write your full name, address, phone number, email address and your answer to the question below on a postcard. PRIZES & THEIR VERIFIABLE RETAIL VALUES (“VRV”) FOR NATIONAL SWEEPSTAKES: One (1) Grand Prize: A 2024 Ford F-150 Lariat (VRV of base model: US$57,480/CAD$77,297 or winner may choose to receive a US$50,000/CAD$67,238 cash option instead). To choose the vehicle, Grand Prize Winner must have a valid U.S. or Canadian driver’s license & provide proof of vehicle insurance (including full and standard liability, collision and comprehensive insurance) within ten (10 days) of being notified or prize will be forfeited. Winner will be responsible for all federal, state, provincial & local income & sales taxes, insurance, licensing, registration & title fees, any options not included & expenses associated with claiming or picking up prizes. If the prize is not picked up at dealership (near the winner’s residence determined at the sole discretion of the Sponsor) within 30 days of required date, winner bears risk of loss or damage. After 30 days, the prize is considered forfeited, and an alternate winner may be notified at Sponsor’s sole discretion. One (1) First Prize: A trip for 2 to attend a Sporting (racetrack-themed) Event in Las Vegas, NV (VRV: US$5,000/CAD$6,724 or a winner may choose to receive a US$4,000/CAD$5,379 cash option instead). Trip portion of prize consists of round-trip economy class airfare for winner and one (1) guest from/to a major commercial airport near winner’s primary residence to/from Las Vegas, NV, double occupancy hotel accommodations for three (3) nights (room and room tax only, 3-star hotel minimum); admission/ticket to Event plus US$2,000/CAD$2,690 spending money. Air transportation will be replaced with ground transportation for winner and any guest residing within a one hundred and fifty (150) mile radius of Las Vegas as determined by Sponsor at its sole discretion. Sponsor is not responsible for any flight or transportation delay/cancellation, and not liable for any expenses incurred because of such delay/cancellation. All meals, ground transportation (other than as noted), taxes, gratuities, incidentals, upgrades, service charges or other expenses not specified herein are not included and are the sole responsibility of the winner and/or guest. All prize details are at Sponsor’s sole discretion. Event tickets awarded herein cannot be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. The dates of travel will be provided to winner after winner is confirmed. Winner and guest must travel together on the same itinerary, and dates specified by the Sponsor or forfeit all rights to the trip. Travel and hotel are subject to availability. Certain restrictions may apply. Winner acknowledges that the Sporting Event is beyond the control of the Sponsor and is subject to being rescheduled, modified, or canceled. In the eventuality the Sporting Event is postponed or canceled, no compensation or substitution will be provided, and the Sponsor shall have no further obligation to the winner other than to supply a trip to Las Vegas minus the Sporting Event. Should this be the case, trip must be taken within ten (10) months from the date of winner’s verification. If for any reason whatsoever, the winner and/or any guest are unable to travel for any reason whatsoever after all travel arrangements have been made and paid, the Sponsor shall have no further obligation to winner and/or guest. Winner and guest are responsible for obtaining proper documentation (i.e., valid photo ID) prior to travel. Guest must be 21 or older and will be required to execute and return a Liability/Publicity Release prior to travel. Ten (10) Second Prizes: Each winner will receive a Traegar Grill (VRV: US$1,000/CAD$1,345 each or winner may choose to receive US$800/CAD$1,076 cash option instead). Twenty (20) Third Prizes: Each winner will receive a Milwaukee Tool Kit (VRV: US$1,000/CAD$1,345 each or winner may choose to receive US$800/CAD$1,076 cash option instead). Two hundred (200) Fourth Prizes: A G-Shock Watch (VRV: US$110/CAD$148 each). Total Maximum VRV of all prizes: US$114,480/CAD$153,971. ALL PRIZES ARE AWARDED AS IS. Each VRV stated herein is what the prize is currently known to be selling for at the time the Official Rules were published and is subject to change. THE FOLLOWING APPLIES TO ALL PRIZE ENTRY OPPORTUNITIES MENTIONED ELSEWHERE IN THESE OFFICIAL RULES:

Employees of Rinnai America Corporation (the “Sponsor”) or of its parent, subsidiary, affiliated or successor companies; Ventura Associates International LLC (the “Sweepstakes Administrator”) participating Distributors, and any advertising, promotional or fulfillment agencies involved in the development or execution of this Sweepstakes (individually and collectively, "Sweepstakes Entities”); or members of their households or immediate families whether related or not; all such individuals are not eligible to participate. "Household members" shall mean people who share the same residence at least three months a year. "Immediate family members" shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses. Sweepstakes is subject to all applicable federal and state and local laws and regulations. Limit: One (1) major prize (valued at $600 or more) per household. Prizes are not transferable and no substitution by any winner is permitted. Sponsor has the option to substitute any or all portions of a prize with one or more prizes of equal or extra VRV. By accepting prize, each winner acknowledges the Sweepstakes Entities (as defined herein) do not make, nor are in any manner responsible for any warranty, representations, expressed or implied, in fact or in law, relative to the quality, conditions, fitness or merchantability of any aspect of prize, except that each applicable prize will be subject to its manufacturer’s stated warranty, if any.

WINNER SELECTION & NOTIFICATION: Winners will be selected via a random drawing conducted on or about August 30, 2024 from all eligible Entries received during the Sweepstakes’ Entry Period. Winners will be notified by mail/email and may be required to complete, sign and return an Affidavit of Eligibility & Release of Liability, and where permissible, a Publicity Release (collectively the “Release”) and any other required document request by Sweepstakes Administrator within 10 days from date specified on notification, or the corresponding entry will be disqualified. Two (2) attempts will be made within the ten (10) days notification period to confirm a potential prize winner. Sponsor shall have no liability if notification is lost, intercepted, or not received for any reason. Sponsor is not responsible for any change in winner’s email account or other contact information after entering the Sweepstakes that may interfere with winner notification. If an email notification is returned as undeliverable, or if any winner fails to execute and return any document required by the Sweepstakes Administrator within the time allocated, or if a winner cannot accept prize for any reason (including but not limited to regulations specified by his/her employer), or if he or she is not in compliance with these Official Rules, the corresponding winner will be disqualified and the Sponsor may, in its sole discretion, award or not award the forfeited or disqualified prize to an alternate winner. Sponsor shall have no liability if notification is lost, intercepted, or not received for any reason. Sponsor is not responsible for any change in Entrant's (or winner’s) email account or other contact information after entering the Sweepstakes. All federal, state, provincial, local and other tax liabilities, including but not limited to sales and use taxes, goods and services taxes, excise taxes, income and U.S. withholding taxes, customs, duties, fees and like amounts in connection with a winner’s award, acceptance, or use of a prize arising from this Sweepstakes will be the sole responsibility of each winner. Winners are solely responsible for all fees and expenses not specifically set forth herein associated with claiming, registering and/or using any prize. For non-U.S. winners: 30% of the prize value may be withheld pursuant to IRS regulations. For all applicable US winners, an IRS form 1099 will be filed in the name of each winner for any prize valued at $600.00 or greater. EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY THE SPONSOR AND ITS ADMINISTRATOR. Except where prohibited by law, by accepting a prize, each winner consents to the use of his/her/their name, prize won, photograph, likeness, statements and limited biographical information (city and state of residence) for publicity or advertising purposes in all media worldwide, including but not limited to social media, without limitation and without further compensation or notice. Furthermore, Sponsor and/or its agents may film, record and/or take photographs of the winner (and guest) before/during/after the Sporting Event and/or any prize Sponsor may deem necessary and may use the resulting footage, recordings, or photographs for a range of purposes, including, without limitation, for marketing and promoting Sponsor and/or its promotion partners/agents and their respective products and services. No additional compensation will be provided for any resulting footage.

CONSENT AND RELEASE: Entrants and any coordinating entity (“Releasing Parties”), release, defend and hold harmless the Sweepstakes Entities and their respective owners, members, shareholders, officers, directors, partners, equity holders, agents, representatives, employees and all others associated with the development and execution of this Sweepstakes (collectively, “Releasees”) from and against any and all claims, actions, causes of action, suits, liabilities, debts, dues, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, lost profits, indirect or direct damages, consequential damages, incidental damages, punitive or exemplary damages, judgments, extent, executions, claims and demands whatsoever, in law, admiralty or equity, whether known or unknown, foreseen or unforeseen, against Releasees which any one or more of the Releasing Parties ever had, now have or hereafter can, shall or may have which in any way arise out of or result from Entrant’s participation, acceptance and use or misuse of prize or resulting from any travel related activity (if determined a winner).

All entries and requests become the property of Sponsor and will not be acknowledged or returned. Sponsor is not responsible for lost, late, damaged, delayed, garbled, illegible, incomplete, misdirected or postage due entries. The “authorized account holder” is defined as the natural person who is assigned the email address by his/her/their employer and/or Internet access provider, online service provider or other organization responsible for assigning email addresses as shown on his/her carrier’s records for the domain associated with the submitted address. Winners may be required to show proof of being the authorized account holder. No responsibility or liability is assumed by the Sponsor for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: Hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, fax or Internet connectivity or other online or network communication problems; errors, omissions or limitations of any Internet providers, servers, hosts or other providers; garbled, jumbled or faulty data transmissions; failure of any online transmissions to be sent or received; lost, late, delayed, incomplete, inaccurate, damaged, destroyed, misdirected or not received or intercepted transmissions; inaccessibility of any website in whole or in part for any reason; traffic congestion on the Internet or any website; unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized access, tampering, hacking, theft, virus, bugs, or worms; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of any email used in connection with the Sweepstakes; any errors, omissions, interruptions, deletions, defects, delays in operation failures or human error that may occur in the transmission, receipt or processing of entries, or for deletion, theft or destruction of, unauthorized access to, or alteration of, entries; causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes; any entries submitted in a manner that is not expressly allowed under these Official Rules (all such entries will be disqualified); or cheating or fraud by any Entrant. Sponsor is not responsible for any typographical errors, any incorrect or inaccurate information, whether caused by Entrants, site users, tampering, hacking, or printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on any website.

Neither Sponsor, nor the Sweepstakes Administrator are responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer (hardware or software) and/or other device related to or resulting from participation in the Sweepstakes or the acceptance or use of any prize awarded. The use of third-party software or website or automated entry systems to participate is prohibited, and Sponsor reserves the right to disqualify entries made in such fashion. Sponsor is not liable if any portion of the Sweepstakes is canceled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond its control.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL & CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

By participating in this Sweepstakes, each Entrant expressively waives and relinquishes all rights and benefits afforded by California Civil Code 1542 and does so understanding and acknowledging the significance of this waiver. Section 1542 states as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DID NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN, BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR THE RELEASED PARTIES.”

ARBITRATION: This Sweepstakes shall be governed by and interpreted under the laws of the State of New Jersey, U.S.A. without regard to conflicts of law provisions. Entrants hereby agrees that any and all disputes, claims, causes of action, or controversies (“Claims”) arising out of or in connection with this Sweepstakes shall be resolved, upon the election by Entrant or Sponsor, by arbitration pursuant to this provision and the code of procedures of either the National Arbitration Forum (“NAF”) or the American Arbitration Association (“AAA”), as mutually agreed upon by both parties. IF ARBITRATION IS CHOSEN BY ANY PARTY WITH RESPECT TO A CLAIM, NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM. FURTHER, NEITHER SPONSOR NOR ENTRANT WILL HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR OTHER PERSONS SIMILARLY SITUATED, OR AS A MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR’S DECISION WILL BE FINAL AND BINDING. NOTE THAT OTHER RIGHTS THAT ENTRANT WOULD HAVE IF ENTRANT WENT TO COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES. ENTRANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEY’S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ENTRANT, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. The arbitrator’s authority to resolve Claims is limited to Claims between Sponsor and Entrant alone, and the arbitrator’s authority to make awards is limited to awards to Sponsor and Entrant alone. Furthermore, claims brought by either party against the other may not be joined or consolidated in arbitration with Claims brought by or against any third party, unless agreed to in writing by all parties. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration.

SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
